Terms of Service
About this document
Effective date: October 5, 2026 (draft under legal review)
These Terms are an agreement between you and Duovo Corporation, Ontario, Canada ("Duovo", "we", "us"). By creating an account or using Duovo you agree to them and to our Privacy Policy.
1. Who can use Duovo
• Business owners ("Strategic") must be adults with authority to bind their business.
• Managers ("Tactical") and employees ("Task") must be at least 14 years old and join a business with its business code; the business must accept them.
• Clients use Duovo through a private link from the business that serves them; these Terms apply to their use of that link.
• You must give accurate information. Your first and last name can't be changed after sign-up.
2. Your account
• Keep your password and two-step verification secure; you're responsible for activity on your account.
• Before using the app you must sign the Driver Safety and Accountability Agreement and complete your profile.
• You can delete your profile at any time (Settings → Leave Duovo). Owners close their business first. What's deleted and what's kept is explained in the Privacy Policy.
3. Subscriptions (business owners)
• Pricing. A business pays a monthly base fee plus $15 a month for each manager or employee (owners are never charged a seat). Prices are in Canadian dollars, plus applicable taxes. The base fee depends on the business's realm, which is set automatically by the size of its team; the price of the next realm is always shown in the app before a business reaches it. Occasional crew can be added on a day rate instead of a monthly seat.
• Monthly or yearly. Monthly plans are billed each month. Yearly plans are 12 months paid upfront and locked in for the year: the bill can grow if the team grows, but can't go down during the year, and you can't switch back to monthly until it ends.
• No free trial. The first payment is taken at sign-up.
• "New to Duovo" gift. A person's very first payment on Duovo is 10% off — the first month on a monthly plan or the first year on a yearly plan. It's given once per person, ever, not per business, and can't be combined, transferred or claimed again (including by deleting and re-creating an account).
• Automatic changes. Adding or removing staff changes your bill automatically, and growing past your realm's staff range moves the business into the next realm and its base fee. You'll confirm you understand this before your first hire.
• Non-refundable. Payments are non-refundable, including when you close your business part-way through a billing period, except where the law requires otherwise.
• Failed payments. If a payment fails, access to the business is paused until it's paid.
• Verification. New businesses must verify they're real — with a business number, or an identity check where there isn't one — within the time shown in the app. Unverified businesses may be suspended.
• Closing. Owners can close their business in the app; the subscription is cancelled immediately.
4. Client payments
• Businesses take payments from their clients (deposits, instalments and invoices) through their own Stripe account. The business is the merchant. Duovo takes 0% of client payments; only Stripe's standard processing fees apply, under Stripe's terms.
• Platform rules for bookings: deposits are between 25% and 85% of the quote and can be split into up to 4 payments; a booking needs at least 72 hours' notice; a booking is only confirmed when the client confirms it in the app; and clients sign a Service Waiver for each job.
• Duovo is not a party to the agreement between a business and its client and isn't responsible for the work, the price or disputes between them.
5. Employers' responsibilities
Duovo is a tool. The business — not Duovo — is the employer of its managers and employees and remains responsible for complying with employment, health and safety, privacy and tax laws, including:
• paying wages, overtime, vacation and public-holiday pay, and making statutory deductions and remittances. Pay amounts calculated in Duovo are records and estimates to help you, not payroll; you remain responsible for what you actually pay;
• Duovo enforces a minimum hourly rate of $20 and a mandatory 30-minute break after 5 hours of work; these are platform rules, not a statement of what the law requires in your province, which may require more;
• telling employees about location tracking and having any written electronic-monitoring policy the law requires (for example, Ontario employers with 25 or more employees must have one);
• using shift records, live locations and photos only for legitimate work purposes;
• the content of any agreements you prepare in Duovo (for example the Employee Shift Protection Agreement and Client Service Waiver wording). Duovo provides starting templates, not legal advice.
Where the app enforces approval chains (for example who may approve time off, shifts or pay), the business is responsible for the decisions its people make.
6. Employees' and managers' responsibilities
• Use Start shift and Trip done honestly; don't falsify locations, photos, tallies or records.
• Never use the app while driving. Drive Mode locks the screen at driving speed; don't try to get around it.
• Location is recorded only between Start shift and Trip done.
7. Acceptable use
Don't: break the law; harass anyone; upload content you don't have the right to; try to get into accounts or data that aren't yours; get around security, billing or platform rules (including the one-time discount); reverse-engineer or overload the service; or use Duovo to send spam.
8. Your content
• You (or your business) own what you put into Duovo. You give Duovo permission to store, process, back up and display it only to provide and improve the service, as described in the Privacy Policy.
• Business records (shifts, pay, schedules, the activity log) belong to the business and stay with it when a team member leaves.
9. Things that depend on others
Duovo relies on outside services (Google, Stripe, Mapbox, weather data, text and email providers, and others). GPS locations, maps, distances and weather forecasts can be inaccurate. Automatic features — for example moving bookings for weather — act on forecasts and may be wrong; check important decisions.
10. Suspension and termination
We may suspend or close accounts or businesses that break these Terms, don't pay, can't be verified, or put others at risk. Where reasonable, we'll tell you why and give you a chance to fix it.
11. Disclaimers and limits
Duovo is provided "as is". To the extent the law allows, we aren't liable for indirect or consequential losses, lost profits or lost data, and our total liability for any claim is limited to the fees you paid us in the 12 months before it.
You agree to cover Duovo's losses caused by your breach of these Terms or by your business's dealings with its own staff and clients.
12. Changes
We may update these Terms. If a change is important we'll tell you in the app or by email before it takes effect; continuing to use Duovo after that means you accept it.
13. Law
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and disputes go to the courts of Ontario.
